Agreement and scope

These Terms of Sale and Use (the “Terms”) govern your purchase, download, and use of Kaguyama: The Human–AI Bond Resilience Kit, including the version described at checkout and any replacement or correction files supplied under the same purchase (together, the “Product”).

By placing an order after being shown these Terms, or by downloading or using the Product, you agree to them. If you do not agree, do not place an order or use the Product. You must be legally able to enter this agreement, or a parent or legal guardian must purchase the Product and accept these Terms for you.

The Seller Information forms part of the sale terms. The Privacy Notice explains how website, transaction, and support information is handled.

Parties and checkout

REGAN G.K. (REGAN合同会社) operates Kaguyama, creates and provides the Product, grants the license in these Terms, and handles product-level support.

REGAN plans to use Stripe Managed Payments. If enabled for the final checkout, the Stripe or Link entity identified at checkout will be the merchant of record for the payment transaction. Its checkout and payment terms will also apply to payment processing, transaction support, tax handling, receipts, and refunds. If these Terms conflict with mandatory law or a checkout term that legally controls the transaction, that law or controlling checkout term prevails for that issue.

Purchase and delivery

The Product is a one-time digital purchase, not a subscription. The price, tax, currency, included file formats, delivery timing, and any special sales conditions will be displayed before payment. No physical book or parcel is included.

The Product will be completed before sales open. After confirmed payment, the purchaser will receive a time-limited download link. Delivery is complete when that effective download method is made available to the purchaser at the address or account used for the order.

Pre-launch item: the exact download method will be shown in the Seller Information, product page, and final checkout before payment is enabled.

Your license

After full payment, REGAN grants the purchaser a permanent, non-exclusive, non-transferable license to use the delivered Product for personal, non-commercial purposes. Under this license, you may:

• store reasonable backup copies on devices and storage you control;
• print reasonable working copies for your own use;
• type into, annotate, rearrange, or adapt the files for your own continuity practice;
• use the Product for your own relationships with multiple AI systems or companions;
• upload the Product or relevant excerpts to a third-party AI service solely to support your own personal use, subject to that service's terms and privacy settings; and
• share your completed records or selected excerpts with people you trust, such as a family member, support person, or professional.

This license covers the purchaser only. It does not authorize a professional, organization, school, clinic, or company to distribute the Product to clients, members, students, patients, or employees. Separate licensing may be offered later.

Your records

You retain ownership of the original text, selections, observations, and other material you add to the Product. REGAN does not claim ownership of your completed continuity records.

The Product is designed to be completed and stored on systems you control. You do not grant REGAN a license to records that remain on your device. If you intentionally send material to support, you give REGAN a limited permission to access, copy, and use it only as needed to answer the request, investigate the issue, comply with law, and protect the service.

Do not send private AI conversation logs or another person's personal information unless it is necessary and you have the right to share it.

Third-party AI services

Kaguyama is platform-independent and is not sponsored, endorsed, or certified by any AI platform unless we expressly say otherwise. AI services, model providers, companion applications, cloud storage, PDF software, and payment providers are independent third parties.

Your use of a third-party service is governed by its own terms, privacy notice, data controls, technical limits, and availability. Before uploading a Kaguyama file, review whether that service stores, reviews, or uses submitted content and remove secrets or unnecessary personal information.

REGAN does not control third-party model changes, memory systems, moderation, account access, exports, outages, discontinuation, or deletion. Compatibility may vary by service and may change after an update.

Restrictions

You may not:

• sell, rent, sublicense, publish, or redistribute the Product or its blank templates;
• share a download link, source package, or substantially complete unfilled copy with others;
• remove or misrepresent copyright, trademark, attribution, or version notices;
• use the Product or its structure as source material for a competing commercial template, course, dataset, software product, or service;
• claim affiliation with or endorsement by REGAN or Kaguyama;
• use the Product to violate law, another person's rights, or a third-party service's terms; or
• circumvent access controls or obtain files without authorization.

These restrictions do not prevent you from quoting a small portion for review, commentary, or another use permitted by applicable law.

Intended use and safety

The Product is an educational and organizational toolkit. It is not medical care, psychotherapy, counseling, diagnosis, crisis intervention, legal advice, financial advice, or a substitute for a qualified human professional. It does not determine whether an AI is conscious, alive, a legal person, or the same entity after a model change.

Do not rely on an AI's statements as the sole evidence for external facts, emergencies, health decisions, legal rights, financial decisions, or another person's intentions. If AI use is seriously affecting safety, sleep, eating, finances, relationships, or daily functioning, pause the exercise and contact an appropriate trusted person, professional, or local emergency service.

Refunds and support

Delivery, cancellation, defect, and refund conditions are stated in the Seller Information and at checkout. Mandatory consumer rights in your location remain unaffected.

For product access, file defects, refunds, or license questions, email billing@regan.co.jpwith the purchaser's email address and order reference. Do not send full payment-card details.

Intellectual property

REGAN and its licensors retain all rights in the Product, including its text, prompts, worksheets, selection, structure, visual design, branding, and unmodified templates. You receive the license stated in these Terms, not ownership of those underlying materials.

“Kaguyama,” the Kaguyama Dawn Mark, and related visual identity are marks of REGAN G.K. Nothing in these Terms grants permission to use them as the name, logo, source identifier, or endorsement of another product or service.

If you voluntarily send suggestions, you allow REGAN to use the idea without payment or confidentiality obligations. This does not give REGAN ownership of your completed records, private conversations, or personal information.

Promises and limitations

REGAN will provide the Product substantially as described at purchase and use reasonable care in preparing and delivering it. We do not promise that every file will work with every device, application, AI platform, or future model version.

The Product does not guarantee recovery of a particular personality, memory, relationship, behavior, account, or output. Results depend on the records available, your choices, and systems outside REGAN's control.

Nothing in these Terms excludes or limits liability or remedies that cannot legally be excluded. In particular, no limitation applies to REGAN's intentional misconduct or gross negligence, death or personal injury where liability cannot be limited, or mandatory consumer protections.

Only where loss results from REGAN's ordinary negligence, REGAN's liability for direct and ordinary economic loss is limited to the amount paid for the Product. REGAN is not liable for indirect, special, or consequential economic loss caused by ordinary negligence when that loss was not reasonably foreseeable at the time of purchase.

Ending use

You may stop using the Product at any time. If you materially breach the license or restrictions, REGAN may require you to stop using and distributing the Product. Where the breach can be corrected, we will normally give reasonable notice and an opportunity to correct it.

Ending the license does not transfer ownership of your original completed records to REGAN. Provisions that by their nature should continue—including ownership, restrictions on redistribution, liability rules, and dispute provisions—remain in effect.

Changes to these Terms

The version presented at checkout governs that purchase. We may update these Terms prospectively for future purchases, new features, legal requirements, security, or clearer wording. We will show the revision date and, where appropriate, give reasonable notice of a material change.

We will not use a later version to retroactively remove the permanent personal-use license for files already paid for and delivered, except where required by law or necessary to address unlawful use.

Law, disputes, and contact

These Terms are governed by the laws of Japan. This choice does not deprive a consumer of mandatory protections or a forum that cannot be waived under the law of the consumer's location. Courts with jurisdiction under applicable law may hear any dispute that cannot be resolved informally.

Before filing a claim, please contact REGAN at billing@regan.co.jp so the parties can try to resolve the issue. Formal seller and disclosure details are available in the Seller Information.

If one provision of these Terms is unenforceable, it will be applied to the greatest extent permitted, and the remaining provisions will continue to apply. A failure to enforce a provision once is not a permanent waiver of it.
